PartnersSell your shop

Retiring? Don't close the doors.

When you're ready to stop, we can buy your client book, your machines, or the whole business, or help you sell the machines. Your clients keep getting their parts, and you get paid for what you built.

Or email quotes@lightmatter.ca with "selling" in the subject.

What we buy

Three ways to sell

Most owners pick one. Some do two: the client book to us, the machines sold for them.

Your client book

You introduce your clients and agree not to compete. We serve them, and pay you a share of what they order.

10% of what those clients pay us, for 3 years

Your machines

We buy at fair market value and place them at a partner shop, or sell them for you through a broker or an auction.

Appraised, or your asking price

The whole business

An asset or share purchase: the clients, the machines, the name and the people.

The schedule

Getting started

What you can add online

  • Right awayWhat you want to sell, each machine (make, model, year, photos, what you'd take for it), your clients' company names and rough yearly sales, and any notes.
  • After we both signClient contacts, financial statements, sales history by client, your workbooks.
  • On a visitClay can build the whole sale file with you at your shop.
Worth knowing

Taxes, privacy and financing

Talk to your accountant and lawyer before you sign anything. These are the things they'll raise.

  • Share saleSelling the shares of a qualifying small business can use the lifetime capital gains exemption, $1,275,000 per person in 2026.
  • Asset saleSelling machines for more than their tax value brings back depreciation as income. Old, written down machines are where this bites.
  • Earn-outsPayments tied to future sales can be taxed as income. A fixed price with a holdback can avoid that; your accountant will say which suits you.
  • Your clients' privacyWe only see client contacts after both sides sign the confidentiality terms. Clients are told after closing. If the deal doesn't happen, we return or destroy what you sent.
